Agreement
These terms are between you and MaxedS LLC. By using the Max app you agree to them on behalf of yourself and the business you represent, and you confirm you are at least 18 and authorized to do so. A paid unit is also governed by the MaxedS Client Agreement and your signed order. If they conflict with these terms, the Client Agreement and order win.
What Max does
Max researches your business and public sources, suggests customer profiles and target accounts, and drafts outreach for your review. Features marked “coming next” on our website are not part of the service until we launch them.
Your responsibilities
You are responsible for checking Max’s output before you use it, and for every message you send. You agree to follow applicable law, including anti-spam, privacy and consumer-protection law, to make only truthful claims about your products, and to use the app only for your own business.
Acceptable use
Do not use Max to send spam or harass anyone, to infringe anyone’s rights, to break the law, to probe or overload our systems, to get around rate limits or security, or to resell the service without our written consent.
AI output
Max uses AI. Output can be incomplete or wrong even when it cites a source. Every fact in a draft shows its source; inferences are labeled. Review the sources and assumptions before use. Max does not give legal, financial or tax advice.
Your data and content
You own the content you provide and the drafts Max produces for you. You give us the rights we need to host and process it to provide the service. Our Privacy Notice explains how we handle personal information.
Our service
We own Max, SalesBook and our software, models, playbooks and brand. We may improve or change the service; if a change materially reduces a paid unit, your order governs.
Paid units
Fees and unit targets are on the Pricing page and in your signed order. Beat any one of a unit’s targets and we propose another unit; it starts only if you approve it in writing. Paid work begins only with your explicit written approval. Payments are processed by Stripe, and nothing is charged without your explicit approval. Your signed order is that approval for the fees it sets out.
Revenue share and attribution
On a paid unit, the revenue share in your signed order applies to revenue you receive from any account that Max or MaxedS worked on for you: researched, contacted, introduced, drafted for or helped advance. It covers that account’s affiliates, and renewals, expansions and successor contracts, signed while the account is attributed, which is until 24 months after our last work on it. The revenue share runs for three years from the signature of each contract. It is not a share of your company’s other revenue. Max keeps a tamper-evident, hash-chained activity log of this work. On request we give you your entries and a way to verify the chain. Your Client Agreement makes that log agreed evidence of attribution. If you already had an active deal with an account before you started, tell us within five business days with evidence and we will exclude it. Free use of the Max app, and a unit’s free start that you do not continue, carry no revenue share.
Fees after cancelling
You can cancel a unit anytime, and the monthly fee is prorated to the stop date. Cancelling, disconnecting Max or closing your workspace does not end the revenue share on accounts we have already worked on. The revenue share, reporting and audit rights continue until each covered contract’s three years have run. See the Cancellation Policy.
Reports and audits
Tell us within 30 days when you sign a contract with an attributed account. Send a revenue report for attributed accounts monthly or quarterly, as your order sets. We may check your books and CRM records for attributed accounts up to twice a year, on 15 days’ notice. If an audit finds you underpaid by more than 5%, you pay the shortfall, interest and the cost of the audit.
No going around us
For 24 months after our last work on an account, do not deal with it through another entity, partner or person, or restructure or delay a deal, to avoid the revenue share. Business done that way still carries the revenue share. We may ask a court to stop it.
Payment and late fees
The revenue share is due within 15 days after you receive each payment from an attributed account. Monthly unit fees are due within 15 days of invoice. Late amounts carry 1.5% a month, or the legal maximum if lower. You pay reasonable collection costs, including attorneys’ fees. We may pause service if an undisputed invoice is more than 10 days overdue, after 5 days’ written notice.
No guarantee of results
No one can guarantee a buyer’s decision. Targets are not guarantees.
Disclaimers
Except as stated in a signed order, the service is provided “as is” and “as available”, without warranties of any kind to the extent the law allows.
Limitation of liability
To the extent the law allows, MaxedS is not liable for indirect, incidental, special or consequential damages or lost profits, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim, or US$100 if you have paid nothing. These limits never reduce fees you owe us, including the revenue share.
Suspension and termination
You can stop using Max at any time. We may suspend or close an account that breaks these terms, does not pay, or puts the service or others at risk, and will tell you why unless the law prevents it. Fees already owed, and the revenue share on attributed accounts, survive any suspension, cancellation or termination.
General
MaxedS LLC is an Illinois limited liability company. These terms are governed by the laws of the State of Illinois. Raise any dispute about an invoice or attribution in writing within 30 days of receiving it. Disputes we cannot settle go to binding arbitration with the American Arbitration Association in Chicago, unless your signed order says otherwise. Either party may go to the state or federal courts in Cook County, Illinois, to collect amounts owed or for urgent relief such as stopping a breach of “No going around us”. If a company buys or merges with yours, the revenue share follows the contracts. We may update these terms by posting a new version here with a new effective date. Questions: [email protected].
